PartyGaming Plc
New platform launch

PartyGaming Plc (“PartyGaming” or the “Group”), the world's leading online gaming company, announces today that it has taken a further step towards establishing a new fully integrated PartyGaming operating platform. This platform will, on launch, offer a variety of different games but with a common systems architecture allowing each of its nine million registered PartyPoker customers to use a single account and a shared purse across the Group’s gaming brands.

As part of today’s development, the Group has moved the PartyPoker.com brand and all of its players to the new platform.

Historically, PartyPoker players have shared the same poker-only system with players from each of the Group’s four white label poker clients or “skins” (being Empire Poker, Coral Eurobet, Multipoker and Intertops). Following today’s move, PartyPoker players will now play on their own private tables and benefit from a number of new and exciting products that are exclusive to the new platform. The new platform includes non-poker games such as Blackjack, as well as added features to the poker product such as Side Bets and Deal-Making in poker tournaments. Once the fully integrated platform is launched in the first half of 2006, players will then be able to click through and play on PartyPoker, PartyCasino and other new PartyGaming products that are currently being developed, all using a common account and a shared purse.

The skins’ poker players will continue to have full access to the existing poker system. They will also now benefit from the release of several new product enhancements comprising “beginners’ tables” – these include “micro-limit tables” and low buy-in tables – and $50/$100 and $100/$200 tables. PokerNOW.com, which was acquired by the Group earlier in the year, will continue to operate on the existing poker system with the skins.

Commenting on today’s announcement Richard Segal, Chief Executive said:

“We are on track to deliver our exclusive Party-branded integrated platform that will include additional products and services, enabling us to focus on optimising cross-selling opportunities. We believe that today’s development is an important step towards cementing together the inherent strengths of all the Party brands and is in the best interests of our customers and shareholders. In conjunction with this exciting development, we will continue to maintain and support the poker system we provide for the skins.”

Side Bets

Side Bets are a new and fun way to place wagers based on the outcome of the flop on real money tables. Whether you are a seated player or just watching you can place a Side Bet on real money Texas Hold’em and Omaha tables.

A Side Bet is a bet on whether or not the flop will be all red or all black. The flop is the first three community cards that are dealt in Texas Hold’em and Omaha. All red means that all three cards come up as the colour red (diamonds and / or hearts) and all black means that all three cards come up as the colour black (spades and / or clubs). Side Bets that are placed will be valid for the next hand that is being dealt.

Blackjack

Blackjack is a casino game that is now available on PartyPoker.com.
The objective of Blackjack is to accumulate cards with point totals as close to 21 without going over 21. The value of a hand is the sum of the point counts of each card in the hand.

The cards from 2 through 9 are valued as indicated
Face cards (Jacks, Queens and Kings) are all valued at 10 points
An ace is valued at either 1 point or 11 points
The game is available only in ‘Real Money’ mode
The minimum bet in the game is $1.00 and the maximum bet is $200.00. Maximum bet applies for the initial bet of the game
Eight decks are used in the Blackjack game and each deck has 52 cards
The deck is shuffled after 10% of the cards in the decks are used
The dealer draws a card on soft 17 and stands on 17 or more
 Maximum splits allowed = 3

Deal-Making

Seated players at final tables of tournaments (where the only prizes are cash payouts) will have the ability to stop the game play and make a deal for the remaining prize pool. If a deal is struck then payments will be made. If the deal is for the entire remaining prize pool then the tournament ends early, if not then the game resumes for the balance of the prize pool less the deal amount. PartyGaming will not need a human facilitator for any deal, rather it simply provides a tool allowing the

Partypoker move hits Empire stock

There may no longer be seats for all at the Partypoker table
Partygaming will no longer let players of websites owned by rivals like Empire Online and Coral Eurobet gamble at the same tables as its Partypoker clients.
The online firm has launched a new platform just for its nine million customers, adding features including blackjack and gambling on card colours.

And new software will let it separate its players from those entering via "skin sites" such as Empire and Coral.

Empire Online shares fell 30% and those in Partygaming 8% on Monday afternoon.

'Lot of competition'

Partygaming said the move did not weaken its relationship with its allies.

But Charles Wilson at Bridgewell Securities said: "Statements from Partygaming and Empire Online contain the initial seeds of divorce."

There have been recent concerns about the long-term prospects for online poker, and Empire boss Noam Lanir said on Monday that the market showed little growth over the summer.

The company provides marketing services and helps push traffic to online gambling sites.

"It's not news there's a lot of competition out there," Partygaming's John Shepherd told Reuters.

"But we're still supportive of our 'skins'. We've improved their platform as well as our own."

Mr Wilson, however, in a research note, said that "Partygaming has taken steps to distance itself from its skins".

"We believe the skins customers will be disadvantaged, as they will not have access to Partygaming's player liquidity," he added. "Player liquidity is one of the key customer drivers."

Partypoker in Verhandlung mit Empire zwecks Übernahme !

Beitragvon Gohar » Donnerstag 3. November 2005, 10:13

November 2005
PartyGaming Plc ("PartyGaming")

Response to press speculation in relation to Empire Online Limited ("Empire")

The board of PartyGaming confirms that it has made a preliminary, non-binding
approach to Empire.

There can be no certainty that any agreement will be reached or that any offer
will be forthcoming or as to the terms of any such offer. Any offer proposal
would depend upon, in particular, PartyGaming being satisfied as to a number of
material pre-conditions, including due diligence and the prospects for Empire's
business.

The terms of any offer will be determined by the outcome of the due diligence
process, which is ongoing.

A further announcement will be made when appropriate.

PP pokert um Empire !

Beitragvon Gohar » Freitag 4. November 2005, 09:37

Habe mir vor Zeiten auch einige PRTY gegönnt. Hier ein aktueller Artikel zu der anstehenden Übernahme:

Times Online November 03, 2005

Decline and fall of a poker Empire

When it comes to management style, Richard Segal appears to have learned his trade from listening to Kenny Rogers' The Gambler. The chief executive of PartyGaming has played the threat of Empire Online by using some expert holding and folding.

But will he know when to walk away, and know when to run?

After being instrumental in lowering Empire's stockmarket value by more than half over the past two months, PartyGaming said today it is considering buying its partner-turned-rival. This approach may not be the simple act of sector consolidation it first appears.

The world's biggest online poker house has maintained its lead position in part thanks to Empire, which markets "skin sites" that direct customers onto PartyGaming's tables in exchange for a cut of the pot. These skins helped keep PartyGaming's customer-base growing even as the market became saturated with me-too rival sites.

Problem was, this vicious competition resulted in the skin sites offering increasingly generous incentives. Schemes such as rake-back -- returning some of the pot to regular players --- meant the interlopers were providing a more attractive proposition than PartyGaming itself.

PartyGaming's first bluff came in September, when SportingBet offered to pay 270p a share for Empire. That deal would have threatened to redirect all skins players from PartyGaming's site and on to SportingBet's rival Paradise Poker. However, the bid collaped within a month amid talk that PartyGaming's contracts with its partner had proved unbreakable.

The second bluff came last month, when Mr Segal ring-fenced PartyGaming's own gamblers from those playing via the skins. Separation meant Empire's customers had a smaller pool of players, which meant fewer rubes and novices for its high-rolling clients to profit from. It was a canny way of dealing with its faster-growing rival in a market that had gone from growth to consolidation.

Now -- with Empire shares starting the day some 60 per cent below their level just two months ago -- PartyGaming has chosen to announce it will consider buying the company; albeit only at "the right price", and providing it can pass "a number of material pre-conditions" including an examination of Empire's accounts.

The takeover would be a smart strategic move for PartyGaming. Not only would Mr Segal's company increase player numbers back to pre-ringfencing levels, it would also gain Empire's better marketing nous and the $100 million on its balance sheet.

The concern for Empire shareholders must be that, for PartyGaming, no takeover could prove an equally smart move. The firm has already shown it can throttle Empire's revenues if it chooses, and today's statement provides more get-out clauses than overtures. If PartyGaming's due dilligence fails, what would that suggest about Empire's value?

Reports today suggest a takeout price for Empire of 140p a share - about half what SportingBet was offering for the company in September. Mr Segal has undoubtedly proved he knows a thing about holding and folding. If he now chooses to walk away from the deal, there may be some Empire shareholders keen to test whether he also knows when to run.

PartyGaming strikes two poker deals in revamp
Fri Nov 11, 2005 7:52 AM ET

By Pete Harrison
LONDON (Reuters) - Online poker operation PartyGaming said it was taking over two of its four partners and ending its relationship with a third as it prepares to launch a new, upgraded service.

Friday's news put pressure on Empire Online, the fourth partner, which PartyGaming is also in talks to buy, analysts said.

PartyGaming said it had agreed to pay $14.5 million cash for Multipoker and was buying most of IntertopsPoker, which sources close to the deal said had gone for about $4 million cash.

The two deals add about 300,000 players to PartyGaming's PartyPoker Web site, but more importantly give the company access to Multipoker's Scandinavian clientele.

PartyGaming's shares were up 1.6 percent to 93 pence by 1136 GMT, valuing the group at around 3.7 billion pounds.

A third partner, Coral Eurobet, is due to leave PartyGaming's online poker platform, migrating its players to a new platform over the next few weeks, it added, confirming a Reuters report last week.

RISE AND FALL

"We now look forward to the launch of the Party-branded integrated platform in the first half of 2006, when we will expand the number of games available to our customers," PartyGaming Chief Executive Richard Segal said in a statement.

PartyGaming listed in June with a market value of 4.6 billion pounds, swiftly rising to more than 6 billion.

But cautious language in a September statement spooked investors, wiping 2 billion pounds off its value, and its shares have not yet recovered the lost ground.

Empire Online was founded by marketing guru Noam Lanir, son of an Israeli war hero, and listed on London's junior AIM stock market in June.

After a 790 million pounds bid by rival Sportingbet was aborted in September, its shares have waned as various moves by PartyGaming have illustrated the vulnerability of Empire's customer base. It is now worth around 250 million pounds.

Players on PartyGaming's four partner sites, known as "skins", have been able to compete with each other in the online poker room, but the loss of players from IntertopsPoker, Multipoker and Coral Eurobet leaves those of Empire Online on their own.

This represents a 40 percent reduction in the number of players, analysts said, raising the risk that Empire will lose its own players as they follow the herd.

"PartyGaming is using this to further squeeze down the price it pays for Empire -- that's if it bothers at all," said Robin Chhabra at Evolution Securities.

"They're just deciding now if they're going to squeeze it and then buy it, or just kill it," he added.

Empire's shares had lost 22 percent since Reuters reported last week that Coral Eurobet had decided to go it alone, and by 1136 GMT, they lost a further 1.7 percent to reach 86 pence.
